Senior Legal Counsel

Provide comprehensive and advanced in-house legal support to companies in Greater China.

Key Responsibilities:

• To independently draft, review and negotiate complex contracts such as direct sales contracts, dealer contracts, contracts for international trading etc.
• To act as support for the regional general counsel in providing systemic legal advice to the business and in developing and implementing new operational systems and schemes of training to empower colleagues within the business to operate within acceptable business risk parameters with a degree of autonomy
• To identify training needs & provide general legal training in all operation areas of Greater China
• To progressively work closely with the regional general counsel in providing creative legal advice across the full range of business activity where legal input (of all types) is required, which may include:
• Corporate transactional advice, which may include transactions in relation to the merger and acquisition, the disposal of subsidiaries, the investment into subsidiaries, corporate restructuring, and related due diligence matters
• Commercial contentious matters pre-litigation with a view to early settlement, for example in relation to faulty goods and services or bad purchasing transactions
• Supporting the HR team on matters related to employment law

Key Requirements:

• Must possess a bachelor’s degree major in Law (domestic or foreign master’s degree is a plus)
• Be duly licensed or qualified as the attorney in P.R.C.
• 10+ years’ work experience, good experience in general corporate area in law firms and with minimum 3 years managing an in-house legal department with a major multi-national organization, demonstrating experience in a variety of matters pertaining to similar industry
• Experience related to dispute resolution and Merger & Acquisition projects is a big plus
• Be a team player who is determined to achieve high-quality, business-oriented results
• Commercial awareness of the business issues and the ability to deal with problems in a practical and timely manner with respect for deadlines
• Be comfortable with complicated matters and working independently with demanding clients and senior management
• Excellent client management and communication skills are a must
• Proficient in oral and written Mandarin Chinese and English
